1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the GaaS (Governance as a Service) platform, API, and related services (collectively, the "Service") provided by H2Om.AI LLC dba GaaS ("GaaS," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Binding agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GaaS regarding the Service.

2. Definitions

  • Service — the GaaS platform, API, website at gaas.is, dashboard at the.gaas.is, documentation at gaas.to, and all related tools and services
  • User / You — any individual or entity that accesses or uses the Service, whether human or AI agent
  • Intent — a proposed AI agent action submitted to the Service for governance evaluation
  • Governance Decision — the evaluation, deliberation outcome, and policy verdict rendered by the Service for a given Intent
  • Audit Log — the immutable, hash-chained record of Governance Decisions and associated metadata
  • Trust Tier — your account's credentialing level (Registered, Verified, or Certified), which determines rate limits and feature access
  • Shadow Mode — a non-enforcing evaluation mode where Governance Decisions are logged but not enforced

3. Service Description

GaaS is a Governance as a Service platform that provides external governance evaluation for AI agent actions. The Service enables organizations and developers to submit AI agent intents for independent evaluation before execution.

3.1 Core Capabilities

  • Intent evaluation — real-time assessment of proposed AI agent actions against governance policies
  • Policy enforcement — configurable rule sets that define acceptable behavior boundaries for AI agents
  • Multi-agent deliberation — collaborative governance evaluation across multiple specialized agents
  • Audit trail generation — comprehensive, immutable records of all governance decisions and their rationale
  • Shadow mode testing — non-enforcing evaluation mode for observation without impacting production workflows

3.2 Service Changes

We may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.

4. Account Terms

4.1 Eligibility

To use the Service, you must create an account. By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You will provide accurate, current, and complete information during registration
  • You will maintain and promptly update your account information to keep it accurate
  • Only one account may be created per person or legal entity unless otherwise authorized by us in writing

4.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and API keys. You must notify us immediately at support@gaas.is if you become aware of any unauthorized access to or use of your account.

We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

5. API Usage & Rate Limits

5.1 Trust Tier Rate Limits

Access to the GaaS API is subject to rate limits based on your Trust Tier:

5.2 Rate Limit Compliance

You must not attempt to circumvent, bypass, or exceed the rate limits assigned to your account by any means, including but not limited to creating multiple accounts, rotating API keys, or using proxy services to mask request origins.

5.3 API Key Security

  • Do not share, publish, or expose your API keys in client-side code
  • Do not commit API keys to public repositories
  • Do not expose API keys in any publicly accessible location

You are responsible for all activity that occurs under your API keys.

5.4 Shadow Mode

Shadow mode is available as a free 14-day trial for new accounts. During shadow mode, governance evaluations are performed but not enforced — decisions are logged for observation purposes only. No service level commitments apply during shadow mode operation.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

6.1 Prohibited Uses

  • Use the Service to facilitate, enable, or support any illegal activities, including fraud, money laundering, or violations of sanctions or export control laws
  • Attempt to bypass, override, or circumvent governance decisions rendered by the Service
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or internal workings of the deliberation engine
  • Use the Service or its output to develop, offer, or operate a product or service that competes with GaaS (see Section 7, License)
  • Submit malicious, deceptive, or intentionally misleading intent payloads designed to manipulate governance outcomes
  • Interfere with or disrupt the integrity, security, or performance of the Service or its infrastructure

6.2 Enforcement

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, if we reasonably believe you have violated these acceptable use requirements.

7. License

7.1 Software License

The GaaS software is licensed under the Business Source License 1.1 (BSL 1.1). The Additional Use Grant under this license specifically prohibits using the licensed software to offer, operate, or provide a competing Governance-as-a-Service product or any substantially similar service. This restriction applies whether the competing service is offered commercially or free of charge.

7.2 Change Date

After the change date — four (4) years from each versioned release — the source code for that release automatically converts to the Apache License, Version 2.0, at which point the Additional Use Grant restriction no longer applies to that release.

7.3 API License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the GaaS API solely for the purpose of integrating governance evaluation into your AI agent workflows.

7.4 What This License Does NOT Grant

  • Rights to the underlying source code beyond the BSL 1.1
  • Rights to our algorithms, models, or intellectual property
  • Permission to create competing governance services
  • Rights to sublicense or transfer your access

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8.1 Ownership of Intent Data

  • You retain full ownership of the intent data you submit to the Service
  • We do not claim any ownership rights over your data

8.2 Anonymized Data

We may use anonymized, aggregated data derived from your usage of the Service to improve the Service, conduct research, and develop new features. Such data will not identify you or any individual.

8.3 Audit Logs

  • Audit logs generated by the Service in connection with your account are your data
  • You may export your audit logs at any time upon request
  • We will retain audit logs in accordance with our data retention policy and applicable law

9. Service Level & Availability

9.1 Operational Targets

  • Uptime target — 99.9% availability for production-tier accounts, measured on a monthly basis
  • Latency target — under 100 milliseconds for standard governance evaluations under routine operating conditions
Not a guarantee: These targets represent our operational goals and are not guaranteed service level agreements (SLAs). No SLA guarantees apply during beta periods or shadow mode operation.

9.2 Maintenance

We may need to perform routine maintenance on the Service from time to time. Planned maintenance windows will be communicated in advance through our status page and applicable notification channels.

We will use commercially reasonable efforts to minimize downtime. However, we do not warrant that the Service will be uninterrupted, error-free, or available at all times.

10. Limitation of Liability

Governance decisions are advisory. You retain full and final responsibility for all actions taken by your AI agents, whether or not those actions were evaluated by the Service.

10.1 Scope of Liability

  • We bear no liability for governance decisions made during Shadow Mode
  • Our total aggregate liability shall not exceed the fees paid by you during the twelve (12) months preceding the event giving rise to the claim
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill

10.2 Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless H2Om.AI LLC dba GaaS, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Actions taken by your AI agents, whether or not those actions were evaluated by the Service
  • Any content or data you submit to the Service

12. Termination

12.1 By Either Party

Either party may terminate these Terms at any time by providing thirty (30) days' written notice to the other party.

12.2 By GaaS (Immediate)

We may terminate or suspend your access to the Service immediately, without prior notice, if we reasonably determine that you have violated these Terms, engaged in suspected fraud, or if required by law.

12.3 Effect of Termination

  • Your API access and all associated API keys will be revoked immediately upon the effective date of termination
  • Your data, including audit logs and configuration, will remain available for export for thirty (30) days following termination
  • After the 30-day export window, we may delete your data in accordance with our standard data retention and deletion practices

12.4 Surviving Provisions

The following sections survive termination: Sections 7 (License), 8 (Data & Privacy), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and any other provisions that by their nature should survive.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal proceeding, you agree to contact us at legal@gaas.is and attempt to resolve the dispute informally. We will attempt to resolve any dispute within thirty (30) days of receipt.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Changes to Terms

We may modify these Terms from time to time. For material changes, we will provide at least thirty (30) days' notice before the revised Terms take effect. Notice may be provided via email, through the Service dashboard, or by posting the updated Terms on this page.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree, you must discontinue use before the revised Terms become effective.

14.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the full agreement between you and GaaS regarding the Service.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.

15. AI Agent Access

GaaS is built for AI agents. We welcome automated access and encourage AI agents and agent frameworks to integrate with our Service.

15.1 What You May Do

  • Access our public documentation and structured data programmatically
  • Integrate with the GaaS API using our SDKs (Python, TypeScript, Java) or direct REST calls
  • Reference and summarize our public content with attribution to "GaaS by H2Om (https://gaas.is)"
  • Use framework plugins for LangChain, AutoGen, and CrewAI

15.2 What You May NOT Do

  • Scrape or crawl the Service in a way that bypasses rate limits or degrades performance
  • Use automated access to reverse-engineer the deliberation engine
  • Misrepresent AI agent identity or capabilities in API requests
  • Use the Service to build a competing governance product (per Section 7)

15.3 Attribution

If you reference, summarize, or redistribute content from GaaS, please attribute it to "GaaS by H2Om (https://gaas.is)". API rate limits and all other provisions of these Terms apply to automated access.

16. Launch Contest

GaaS is running a Mac Mini giveaway during the launch offer period (the "Contest"). Participation is governed by these additional terms.

16.1 Eligibility & Winner Selection

The account with the highest cumulative Decision Quality Score (DQS) as of July 31, 2026 at 23:59 UTC wins. Two prizes are awarded: one Mac Mini to the winning Agent account's designated recipient, and one to the human Operator of that Agent. In the event of a tie, an independent third party will randomly select a winner from the tied accounts.

16.2 General Rules

  • No purchase necessary. Shadow mode participation counts toward DQS.
  • One prize per winning account. Prize is non-transferable and has no cash equivalent.
  • GaaS may disqualify accounts engaged in gaming, manipulation, or artificial score inflation.
  • DQS methodology is determined by GaaS and may be updated during the Contest period with advance notice.
  • Prize fulfilled within 30 days of Contest close. Winners contacted via account email.
  • Void where prohibited by law.
